User Terms

PHARMATELL STUDIO – USER TERMS & CONDITIONS

These User Terms & Conditions (the “User Terms”) govern access to and use of PharmaTell Studio (the “Database”) by Authorized Users.

Access to and use of the Database by Authorized Users is subject to these User Terms, which are made available by PharmaTell prior to and during use of the Database.
 

1. Definitions

For the purposes of these User Terms:

  • AI-Generated Content means content, analyses, summaries, insights, or other outputs generated or assisted by artificial intelligence systems.

  • Authorized User means any natural person who is granted access to the Database by or on behalf of a Commercial User.

  • Commercial User means the legal entity that has entered into a valid subscription agreement with PharmaTell.

  • Data means any data, information, content, materials or output made available through, generated by or derived from the Database, including underlying data, documents, records, metadata and AI-generated or AI-assisted content.

  • Database / PharmaTell Studio means the online data platform and related functionalities made available by PharmaTell, including any AI-enabled features.

  • PharmaTell means PharmaTell B.V. or its relevant affiliate.

 

2. Scope and Relationship

  1. Authorized Users access the Database exclusively on behalf of and under the responsibility of the Commercial User.

  2. The Commercial User is responsible for ensuring that its Authorized Users comply with these User Terms. Any act or omission of an Authorized User is deemed to be an act or omission of the Commercial User.

  3. These User Terms apply in addition to the subscription agreement between PharmaTell and the Commercial User. In case of conflict, the subscription agreement shall prevail.

 

3. Access and Use

  1. Access to the Database is limited to Authorized Users with valid login credentials.

  2. PharmaTell may suspend or revoke access to the Database (in whole or in part) if (i) these User Terms are breached; (ii) misuse, security risks, or unauthorized access is suspected; or (iii) continued access may reasonably expose PharmaTell to legal or regulatory risk.

  3. PharmaTell does not guarantee uninterrupted or error-free availability of the Database.

 

4. Acceptable Use

Authorized Users may use the Database solely for internal business purposes of the Commercial User and in accordance with the subscription agreement.

In particular, Authorized Users may:

  1. search, view, retrieve and display Data made available through the Database;

  2. electronically save search results, individual documents or other Data;

  3. print search results or single copies of individual documents or other Data; and

  4. distribute single copies of individual documents or other Data, in print or electronic form, to other Authorized Users within the same organization.

  5. ​

Authorized Users shall not:

  1. share login credentials or permit access to the Database by any third party other than Authorized Users;

  2. access, copy, scrape, harvest or extract Data from the Database in a systematic, automated or bulk manner;

  3. use bots, scrapers, crawlers or similar automated tools to access the Database;

  4. reverse engineer, decompile or attempt to derive the source code, models or underlying logic of the Database;

  5. use the Database or Data to train, test or improve external databases, tools or artificial intelligence models.

 
5. AI-Generated Content

  1. Certain functionalities within the Database may use or incorporate artificial intelligence systems to generate, summarise, classify, or analyse AI-Generated Content.

  2. Where reasonably practicable, PharmaTell will indicate within the user interface when content is generated or materially assisted by AI. However, due to the integrated nature of the Database, not all AI-assisted elements may be individually labelled.

  3. AI-Generated Content is provided for informational purposes only and does not constitute medical, regulatory, legal, compliance, or professional advice. PharmaTell does not warrant that AI-Generated Content is accurate, complete, up to date, or fit for any particular purpose, and such content may be incorrect or inaccurate.

  4. Authorized Users must independently assess and verify all content obtained from the Database, whether or not such content is identified as AI-Generated Content, before relying on it for decision-making, regulatory submissions, or other professional use.

 

6. Intellectual Property

  1. All intellectual property rights in the Database and Data, including underlying software, databases, models, and AI systems, vest exclusively in PharmaTell or its licensors.

  2. Authorized Users may access and use the Database and Data solely on behalf of, and to the extent permitted to, the Commercial User under the subscription agreement.

  3. Except as expressly permitted under the subscription agreement, Authorized Users shall not reproduce, distribute, modify, or make available the Database or any Data to any third party other than other Authorized Users acting on behalf of the same Commercial User.

 

7. Third-Party Content and Links

The Database may include references or links to third-party sources. PharmaTell does not control and accepts no responsibility for such content.

 

8. Security and Credentials

  1. Authorized Users are responsible for safeguarding their login credentials.

  2. PharmaTell is not liable for unauthorized access resulting from compromised credentials unless caused by PharmaTell’s gross negligence or willful misconduct.

 

9. Privacy and Cookies

  1. The processing of personal data in connection with the use of the Database is governed by PharmaTell’s Privacy Policy, as made available on the PharmaTell website.

  2. The use of cookies and similar technologies in connection with the Database is governed by PharmaTell’s Cookie Policy, as made available on the PharmaTell website.

 

10. Liability

  1. The Database and Data are made available to the Authorized Users for informational purposes only.

  2. To the maximum extent permitted by law, PharmaTell shall not be liable for indirect or consequential damages, including loss of profit, loss of data, or business interruption.

  3. Any rights or claims relating to the Database or Data shall be exercised by the Commercial User under the subscription agreement.

  4. Nothing in these User Terms excludes liability for wilful misconduct or gross negligence.

 

11. Termination

Access rights of Authorized Users automatically terminate upon (i) termination or expiry of the Commercial User’s subscription; or (ii) revocation by PharmaTell or the Commercial User.

 

12. Governing Law and Jurisdiction

To the extent permitted by applicable law, these User Terms are governed by Dutch law. The courts of Amsterdam shall have exclusive jurisdiction, unless mandatory law provides otherwise.

 

13. Changes

PharmaTell may update these User Terms from time to time. Continued use of the Database after changes take effect constitutes acceptance of the updated User Terms.

 

14. PharmaTell information

PharmaTell Studio is operated by PharmaTell B.V., a private limited liability company (besloten vennootschap) incorporated under the laws of the Netherlands, with its registered office at De Stuwdam 69F, 3815 KM Amersfoort, the Netherlands, and registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number 32096432.
